Terms of Service

1. Agreement Overview

These Terms of Service ("Terms") form a binding agreement between you ("Customer", "you") and Solutions Intelligentes SmartGrants Sougou Inc. ("SmartGrants", "we", "us") governing your use of SmartGrants Costimate and any related websites, APIs and services (the "Platform"). By accessing or using the Platform you confirm you have read and agree to these Terms. If you are accepting on behalf of an organisation, you represent that you have authority to bind that entity.

2. Description of Services

SmartGrants Costimate is a multi-tenant SaaS platform that reads architectural plans, generates AI-powered bills of quantities, applies region-specific unit prices, and produces professional PDF exports. We may introduce, modify or discontinue features at any time, with reasonable notice for material changes.

3. Account Registration & Security

You must register with accurate, current information and keep your login credentials confidential. You are responsible for all activity under your account. Notify us immediately at admin@smartgrants.io if you suspect any unauthorised access. We may suspend accounts that show signs of compromise or that violate these Terms.

4. Acceptable Use

You agree NOT to:

• Upload plans or content you do not have the right to process.
• Use the Platform for fraud, misrepresentation, or any unlawful purpose.
• Attempt to gain unauthorised access to the Platform, other customers, or connected systems.
• Reverse-engineer, decompile or extract source code, or resell access without our written consent.
• Interfere with the performance, stability or availability of the service for other customers.
• Exceed plan volume limits, abuse API rate limits, or circumvent technical controls.

You are solely responsible for reviewing every generated estimate before using it in a contract or bid. Estimates are informational and should always be reviewed by a qualified professional.

5. Subscriptions & Payment

Access is offered through a Free tier (one project, one estimate, watermarked PDF preview) and a Business plan ($2,500/month, billed monthly in advance — unlimited projects, unlimited AI estimates, professional PDF export, historical pricing, versioning and up to 5 team seats). Fees are non-refundable except where required by law. We may adjust pricing with at least 30 days' notice. You can cancel from Settings → Billing at any time; access continues until the end of the current paid period.

6. Customer Data & Ownership

You retain full ownership of all data you upload, generate or export through the Platform ("Customer Data"). You grant SmartGrants a limited, non-exclusive licence to process Customer Data solely to operate and improve the Platform. We will not sell your data, train third-party AI models on it, or use it for advertising. On termination, you may export Customer Data for up to 30 days, after which we may delete it.

7. Third-Party Services

The Platform integrates Anthropic (AI plan analysis), Supabase (database) and Stripe (payments). Use of these services is also subject to their own terms. You authorise SmartGrants to act as your agent in interacting with these services using credentials you have provided.

8. Intellectual Property

All rights, title and interest in the Platform — software, design, documentation, branding, and proprietary algorithms — remain with SmartGrants. These Terms do not transfer any IP rights beyond the limited licence to use the service during your active subscription.

9. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party. This does not apply to information already public, independently developed, or required to be disclosed by law.

10. Service Availability & Support

We target high uptime but do not guarantee uninterrupted access. Maintenance windows will be communicated in advance. Support is provided via email; Business customers receive priority handling.

11. Limitation of Liability

To the maximum extent permitted by law, SmartGrants is not liable for indirect, incidental, special, consequential or punitive damages — including loss of revenue, data, or business opportunity — arising from your use of or inability to use the Platform. Our total aggregate liability shall not exceed the fees you have paid in the twelve months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless SmartGrants, its officers, employees and agents from any claims, damages or expenses arising out of your breach of these Terms, your misuse of the Platform, or your violation of third-party rights.

13. Termination

Either party may terminate by 30 days' written notice. We may suspend or terminate immediately if you breach these Terms or engage in activity that threatens the Platform's security or integrity. Upon termination your access ceases and outstanding fees become immediately due.

14. Modifications

We may update these Terms from time to time. Material changes will be communicated by email or in-platform notification at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the competent courts of Ontario, Canada.
